8 Red Flags
Affiliations
  • •Served as 2025 AHA Board Chair and 2026 Immediate Past Chair. Her AHA officer cycle ends December 31, 2026, when Marc Boom moves into the past-chair seat.
  • •President & CEO of Corewell Health since the 2022 Spectrum Health-Beaumont Health merger, and CEO of Spectrum Health from 2018 to 2022. Corewell is Michigan's largest system, with 21 hospitals, 300+ outpatient sites and about 60,000 employees.
  • •Corewell owns Priority Health, a provider-sponsored health plan with 1.3 million+ members.
  • •Board of Directors, Federal Reserve Bank of Chicago, for a three-year term from 2026 through 2028.
  • •Board member of Business Leaders for Michigan and The Right Place (West Michigan economic development); former board member of the Michigan Health & Hospital Association and the American College of Healthcare Executives.
Financial / Compensation
  • •Her Form 990 compensation was about $6.95 million in FY2024 ($5,453,830 reportable plus $1,498,970 other), up from about $6.73 million in FY2023 ($5,358,468 plus $1,373,681) and about $4.5 million in FY2022.
  • •Schedule J breakdown (FY2024, the Corewell Health group return): base salary $2.49M, bonus and incentive $2.73M, other reportable $237,857, retirement and deferred $1.46M, nontaxable benefits $36,825; total $6.95M. Bonus and incentive pay was 39% of the total.
  • •Paddock Post's review of the 2024 Corewell filing puts her cumulative compensation at about $31 million over 2018-2024.
  • •Corewell's audited FY2025 results showed $17.6 billion in operating revenue ($9.8 billion patient revenue, $7.4 billion Priority Health premiums) and $276 million in operating income, a 1.6% margin, up from 1.3% in 2024.
  • •Net income was $1.3 billion in 2025, driven by $1.1 billion in investment returns. The system held $9.9 billion in cash and investments (214 days cash on hand) and $12.5 billion in net assets at year-end 2025.
  • •Corewell's top 64 executives received about $65 million in total compensation in 2023.
  • •Former Beaumont CEO John Fox received a reported $10.2 million departure package after the merger.
Lobbying and Political
  • •Corewell Health's in-house LDA filings report $830,000 in federal lobbying for 2025 ($190,000, $270,000, $190,000 and $180,000 by quarter), up from $620,000 in 2024 LDA filings, and $590,000 for the first three quarters of 2026.
  • •Its 2025-2026 filings list 340B ('covered entities and manufacturer created barriers (Lilly)'), PBM reform, Medicare Advantage star-ratings recalculation, Medicaid financing, tariffs, physician visa fee exemptions and NIH appropriations.
  • •Corewell-affiliated PACs and individuals contributed $420,461 in the 2024 cycle, per OpenSecrets.
  • •As 2025 AHA chair she fronted the association's opposition to site-neutral payment and Medicaid cuts and its defense of 340B. That year AHA reported $25.47 million in federal lobbying.
  • •Corewell's pharmacy business services director has testified before Michigan lawmakers in defense of the 340B program.
Revolving Door
  • •She has spent her whole career inside Spectrum/Corewell since a 2002 administrative fellowship, with no government service.
  • •Her Federal Reserve Bank of Chicago directorship (2026-2028) gives the CEO of Michigan's largest employer-insurer-provider a seat in the regional monetary-policy apparatus, mirroring Boom's Dallas Fed seat.
  • •She chaired Spectrum Health's price transparency and quality transparency task forces (2016-2020) before leading the trade group that had sued to block the federal hospital price transparency rule.
Home System Record
  • •Corewell Health's charity care at cost was $54.1M (latest hospital tax returns).
  • •Corewell Health has 995 340B contract pharmacy arrangements registered with HRSA (OPAIS registry, Sept. 29, 2026).
  • •The $13 billion Spectrum-Beaumont cross-market merger drew an FTC second request but was allowed to close in 2022. Michigan AG Dana Nessel extracted no conditions on Beaumont's roughly $4 billion in reserves, and her office said the deal fell outside its authority.
  • •Through vertical integration, Corewell runs the state's largest hospital network and the Priority Health plan. The PriorityIntegra narrow-network product, launched January 2025, steers members to Corewell providers.
  • •In Lown Institute's 2025 analysis, Michigan nonprofit hospitals had a combined fair-share deficit of about $605 million a year (2020-2022), 75% of hospitals ran deficits, and community investment equaled just 1.76% of expenses, the lowest of the 20 states studied. Beaumont's eight metro Detroit hospitals alone ran a $165 million deficit on 2021 data.
  • •About 10,000 Teamsters-represented nurses at Corewell Health East (former Beaumont) voted about 90% in March 2026 to authorize a strike. No strike occurred: a tentative agreement was reached July 29, 2026, and the nurses ratified a three-year first contract in August 2026 with 15% raises over its term, a lump sum for a previously withheld raise and a safe-staffing committee, but no fixed nurse-to-patient ratios.
  • •In 2025, Corewell cut about 186 billing and finance jobs and moved the work offshore to India, according to Deadline Detroit. This followed about 400 management and non-clinical layoffs after the merger in 2022.
  • •Two 2023 data breaches exposed the information of more than 1 million Michigan patients, which AG Nessel publicly announced.
Litigation and Scrutiny
  • •Rzanca et al. v. Corewell Health et al. (E.D. Mich., No. 2:26-cv-11692), filed May 22, 2026: a proposed class action alleging Corewell and debt collector DCM Services sought to collect millions of dollars in medical bills that had already been paid through insurance and government programs.
  • •A False Claims Act case, Collins v. Corewell Health, was filed in the Western District of Michigan in 2026 (No. 1:26-cv-00324). Its allegations and status were not public as of November 2026.
  • •Before the merger, William Beaumont Hospital paid $84.5 million to settle False Claims Act allegations of improper financial relationships with eight referring physicians (Anti-Kickback and Stark laws, 2004-2012).
  • •Beaumont was among the Detroit-area hospitals that paid a combined $42 million by 2015 to settle claims that they conspired to suppress nurse wages.
  • •Teamsters Local 2024 filed unfair labor practice charges against Corewell Health East during the 2025-2026 first-contract fight, which ended with an August 2026 ratified contract.
  • •A former physician filed a Whistleblower Protection Act suit in 2023 alleging opioid overprescribing and religious discrimination at a Corewell clinic in Taylor, Michigan.

Red Flags

CEO pay reached about $6.95 million in FY2024, about $31 million cumulative over 2018-2024, while the system withheld nurse raises and premium pay until 10,000 nurses authorized a strike.

Corewell posted a 1.6% operating margin in 2025 but $1.3 billion in net income and $9.9 billion in cash and investments, which undercuts the hospital-lobby claim of financial distress that she pressed as AHA chair.

A May 2026 class action alleges Corewell pursued patients for medical debts already paid by insurers and government programs.

Through vertical integration Corewell owns the dominant hospital network and the health plan that pays it, with a narrow-network product that locks members into Corewell providers.

The cross-market megamerger closed with no AG conditions on Beaumont's roughly $4 billion in reserves. The FTC second request produced nothing, and cross-market deals remain a blind spot in antitrust enforcement.

It inherited an $84.5 million kickback settlement and a $42 million nurse wage-fixing settlement from Beaumont, and a new False Claims Act case was filed against Corewell in 2026.

Michigan hospitals have the lowest community-investment rate among the 20 states in Lown's 2025 study, and the state's largest system was led by the 2025 AHA chair.

She sits on the Chicago Fed board while serving as past chair of the hospital lobby, the same pattern as Boom at the Dallas Fed.

Pattern Summary

Tina Freese Decker built Corewell through Michigan's largest cross-market merger, creating a $17.6 billion vertically integrated system that controls both the state's biggest hospital network and a major health plan, with no state conditions on the $4 billion in reserves it absorbed. She chaired the AHA in 2025, its record lobbying year, pleading hospital distress while Corewell booked $1.3 billion in net income and her pay hit about $6.95 million. Her AHA officer cycle ends December 31, 2026, but she keeps her Chicago Fed seat through 2028.
