Lisa Shannon

Trustee, term 2025-2027

President & CEO | Allina Health

Last verified November 4, 2026

7 Red Flags
Affiliations
  • •President and CEO of Allina Health since January 1, 2022, after serving as Allina's president and COO under Penny Wheeler; Allina runs 12 hospitals in Minnesota and western Wisconsin.
  • •If the Sutter Health combination closes, she is slated to stay on as president and CEO of Allina, which would become Sutter's Upper Midwest Division reporting up to Sutter CEO Warner Thomas.
  • •AHA Board of Trustees: elected August 2024 to a three-year term that began January 1, 2025, and listed on the 2026 AHA roster; she has served on the AHA Health Systems Committee since 2023.
  • •Prior executive roles at OhioHealth, Spectrum Health (now Corewell Health), where she was COO, and KentuckyOne Health (Catholic Health Initiatives).
Financial / Compensation
  • •Allina reported a 2025 operating loss of $95.4 million (-1.6% margin) on $6.0 billion of operating revenue, worse than its $16.6 million operating loss in 2024; net income was $126.1 million thanks to investment returns.
  • •Before restructuring charges, Allina lost $87 million on operations in 2025, compared with operating income of $48.6 million in 2024, and blamed payer recoupments, higher uncompensated care and rising supply costs.
  • •Allina's 2024 results were flattered by a one-time gain from selling most of its outpatient lab business to Quest Diagnostics for about $230 million; it still posted a $16.6 million operating loss after restructuring costs.
  • •Allina lost $321.4 million on operations (before restructuring) in 2023, so the system has been in or near the red for three straight years.
  • •Allina Health System's FY2024 Form 990 shows about $5.9 billion in revenue, $5.8 billion in expenses and net income of about $94 million.
  • •An earlier Form 990-based figure put Shannon's total compensation at about $3.08 million; at a July 2026 AG forum, a union speaker said her pay rose from $1.2 million in 2020 to over $4 million in 2024, a figure this review could not confirm against the filing.
  • •A Sutter-Allina combination would create a roughly $26 billion, 39-hospital system; Sutter itself earned $509 million on operations (2.6% margin) in 2025 on $19.8 billion of revenue.
Lobbying and Political
  • •Allina's federal lobbying totaled $190,000 in 2024 and $160,000 in 2025, all through Prime Policy Group, on health care and Medicare/Medicaid issues (Senate LDA filings).
  • •In 2026 Allina dropped Prime Policy Group and hired Faegre Drinker Biddle & Reath; combined 2026 spending through the third quarter was $110,000 ($20,000 on Prime's final report plus $90,000 through Faegre). The new filings add budget, homeland security and disaster issues.
  • •The AHA itself reported $25.47 million in in-house federal lobbying in 2025 and $14.39 million in the first three quarters of 2026 (Senate LDA filings), the agenda trustees help set.
  • •Allina is a dues-paying member of the AHA and the Minnesota Hospital Association, and leans on those trade groups for most of its policy work.
  • •Minnesota has no certificate-of-need regime for hospital expansion; the main state check on Allina is the attorney general, whose merger-review powers the Legislature expanded in 2023.
Revolving Door
  • •No government appointments or regulatory roles for Shannon were identified in this review.
  • •Her influence runs through business and trade groups: the AHA board, the Minnesota Business Partnership and the Itasca Project.
Home System Record
  • •Sutter Health and Allina signed a letter of intent on March 17, 2026, and a definitive agreement on May 21, 2026; Sutter pledged more than $2 billion of investment in Minnesota and western Wisconsin, and the parties target a close by the end of 2026.
  • •Minnesota AG Keith Ellison opened a public review under the state's Health Care Transaction Law, sought comment in April 2026 and held forums in July 2026; as of late August 2026 no decision had been announced.
  • •About 600 Allina primary and urgent care physicians, PAs and NPs (Doctors Council SEIU) held a one-day strike in November 2025 and ratified their first contract, a three-year deal, in April 2026 with more than 90% support.
  • •About 150 Doctors Council SEIU physicians at Mercy Hospital's Coon Rapids and Unity (Fridley) campuses held a four-day strike starting September 14, 2026, after three years without a first contract, then reached a tentative three-year deal about a week later.
  • •More than 60 Allina hospice nurses (SEIU Healthcare MN & IA) struck for one day on July 6, 2026, and for seven days starting September 11, 2026, seeking a first contract.
  • •Allina closed the Faribault birth center and ended evening and weekend emergency surgery there on December 1, 2025, and ended pediatric admissions at Faribault on May 7, 2026, consolidating care in Owatonna.
  • •Allina eliminated inpatient pediatrics at Mercy Hospital in Coon Rapids in June 2024, telling its unionized physicians that inpatient pediatrics was 'not a core service.'
  • •After its 2024 lab sale to Quest, union doctors called the transition a 'disastrous, chaotic mess.'
Litigation and Scrutiny
  • •Minnesota AG Ellison confirmed an investigation into Allina's debt collection and billing practices in August 2023, after Allina was reported to cancel appointments for patients with large unpaid balances; Allina dropped the policy, and this review found no public resolution of the probe.
  • •The AG's review of the Sutter combination is the main live legal exposure: the office can sue to block a deal it finds against the public interest.
  • •In Popovich v. Allina Health (2020), the Minnesota Supreme Court held that hospitals can be vicariously liable for negligence by independent-contractor ER physicians under an apparent-authority theory.
  • •No new 2025 or 2026 False Claims Act, antitrust or patient-debt lawsuits against Allina were identified in the sources reviewed.

Red Flags

She is selling a Minnesota nonprofit to a California system with a record of antitrust settlements, after three years of operating losses, and is set to keep her job running it.

The 'nonprofit' Allina lost money on operations in 2023, 2024 and 2025 even while selling off its lab business, which suggests a structural problem rather than a one-year blip.

Executive pay has risen steeply even as operations lost money; unions claim her pay more than tripled from 2020 to 2024.

Allina has now faced strikes or strike threats from primary care doctors, hospitalists and hospice nurses within a single year, all fighting for first contracts.

Service cuts (Faribault obstetrics and pediatrics, Mercy inpatient pediatrics) fall hardest on rural and family patients, while the system tells regulators the merger will bring investment.

Allina's practice of canceling care for indebted patients drew an AG investigation and was dropped only after national press coverage.

As an AHA trustee she helps set a federal agenda (site-neutral opposition, defense of the 340B program, tax-exemption protection) that her own consolidating system benefits from.

Pattern Summary

Shannon runs a $6 billion nonprofit that has lost money on operations for three straight years and is now handing itself to Sutter Health in a $26 billion cross-market merger, with her staying in charge. On her watch Allina has cut rural obstetric and pediatric services, sold off its lab business and fought first contracts with doctors and nurses, while executive pay climbed. Her AHA seat lets her shape the federal protections that make this kind of consolidation pay.
